Salgsbetingelser for SAFEFLOOR ApS
1. Anvendelse
1.1. Salgs-/leveringsbetingelser finder anvendelse i det omfang, de ikke er fraveget ved skriftlig aftale. Købers indkøbsbetingelser finder ikke anvendelse, med mindre SAFEFLOOR ApS skriftligt har accepteret disse.
2. Tilbud og ordrebekræftelse
2.1. Alle tilbud fra SAFEFLOOR ApS er uforbindende. En ordre er først bindende for SAFEFLOOR ApS efter SAFEFLOOR ApS har fremsendt skriftlig ordrebekræftelse.
2.2. Såfremt der ikke er angivet andet i tilbuddet, er tilbuddet gyldigt i 3 måneder fra tilbudsdatoen.
3. Pris og betaling
3.1. Alle priser er excl. moms. Levering sker til de, på ordretidspunktet, gældende priser.
3.2. Betalingsbetingelserne er som anført på fakturaen. Ved senere betaling tillægges rente på 1,5 % pr. måned fra forfaldstid og til betaling sker. Derudover tillægges rykkergebyrer iht. gældende lovgivning.
4. Leverancens omfang
4.1. Leverancen omfatter udelukkende de ydelser, der er beskrevet i den udsendte ordrebekræftelse.
4.2. SAFEFLOOR ApS har ret til, uden varsel, at foretage produktændringer og tilretninger. Dette gælder uanset tidligere foreviste prøver. Alle oplyste tekniske specifikationer er med forbehold for sådanne ændringer. Der kan ikke rejses krav mod SAFEFLOOR ApS i forbindelse med gennemførte ændringer.
5. Levering og risikoovergang
5.1. Alle leverancer er EXW, medmindre andet er skriftligt aftalt. Risiko overgår ved leverancens afhentning.
5.2. Er der aftalt levering, overgår risikoen i henhold til den sidste ajourførte udgave af INCOTERMS.
5.3. Er der aftalt levering hos slutbruger, overgår risikoen ligeledes ved levering, uanset om slutbruger er til stede på leveringstidspunktet/leveringsstedet.
5.4. Opbevaring ved levering: Ved normale vejrforhold kan emballagen, hvori materialer som EPDM, SBR, sten m.v. leveres, tåle at stå udendørs i indtil 7 dage fra levering. Herefter påhviler det kunden at sikre, at materialerne afdækkes forsvarligt eller flyttes indendørs indtil montage. Ved udendørs opbevaring ud over 7 dage kan vi ikke garantere, at emballagen forbliver vandtæt eller holder nedbør ude. Vi påtager os ikke ansvar for materialer, der er blevet fugtige eller våde som følge af vejrliget, hvis de har stået udendørs i mere end 7 dage efter levering.
6. Forsinkelse
6.1. Opgivne leveringstider er skønsmæssigt fastsat.
6.2. SAFEFLOOR ApS påtager sig ikke erstatningsansvar for forsinket levering.
6.3. Force Majeure: Strejke, lockout, driftsforstyrrelser og forsinket levering fra underleverandører og lign. forlænger altid leveringstiden tilsvarende.
6.4. Såfremt det, på grund af krig, oprør, ind- eller udførelsesforbud og lignende tilstande, er umuligt eller forbundet med ekstraordinære vanskeligheder at fremskaffe materialer/udføre ordren, er SAFEFLOOR ApS berettiget til at annullere tilbud og ordre.
7. Mangler
7.1. Køber skal kontrollere og undersøge leverancen umiddelbart og indenfor 48 timer efter modtagelsen.
7.2. Reklamation over mangler ved leverede produkter skal ske omgående, skriftligt, og med billedmateriale, der dokumenterer manglerne.
7.3. Såfremt emballagen er blevet brudt under transport på belægningsmaterialer (sten, SBR og EPDM) skal materialerne efterses ved levering. Er materialerne stadig tørre, skal de afdækkes straks. Hvis de er blevet våde under transport, skal varerne kasseres eller returneres til os – kontakt os i dette tilfælde.
7.4. SAFEFLOOR ApS eftersender eventuelle manglende dele hurtigst muligt.
7.5. SAFEFLOOR ApS påtager sig intet ansvar for indirekte tab som følge af fejl, herunder driftstab, tidstab, avancetab mv.
8. Ansvarsbegrænsning
8.1. SAFEFLOOR ApS er kun ansvarlig for personskade samt tingskade, hvis det kan bevises, at skaden skyldes fejl eller forsømmelse begået af SAFEFLOOR ApS eller andre, som SAFEFLOOR ApS har ansvaret for.
8.2. SAFEFLOOR ApS er ikke ansvarlig for skade på fast ejendom eller løsøre som indtræder, mens varerne er i køberens besiddelse.
8.3. SAFEFLOOR ApS er ej heller ansvarlig for skade på produkter, der er fremstillet af køberen eller på produkter, hvori disse indgår.
8.4. SAFEFLOOR ApS kan ikke holdes ansvarlig for funktionen af faldunderlag, såfremt ikke alle materialer er købt hos SAFEFLOOR ApS.
8.5. Såfremt der fra tredjemand rejses krav mod SAFEFLOOR ApS i anledning af en ansvarspådragende handling begået af køberen, er køberen i det hele forpligtet til at friholde SAFEFLOOR ApS for enhver omkostning i forbindelse hermed.
8.6. SAFEFLOOR ApS hæfter aldrig for driftstab, avancetab og/eller andet indirekte tab.
8.7. SAFEFLOOR ApS kan ikke holdes ansvarlig for montage af materialer, som har været våde/fugtige før opblanding med lim. Våde materialer (herunder sten, SBR og EPDM) må ikke anvendes til montage, da dette kan påvirke limning, vedhæftning eller medføre permanente skader i belægningen.
8.8. Der kan forekomme mindre farvevariationer i produkter, der indeholder genbrugsmateriale.
9. Tvister og lovvalg
9.1. Eventuelle uoverensstemmelser mellem køber og SAFEFLOOR ApS, som ikke kan klares ved forhandling, skal afgøres ved dansk ret ved byretten i Aarhus.
9.2. det omfang at SAFEFLOOR ApS måtte blive pålagt et ansvar over for tredjemand, som skyldes forhold hos køber, er køber forpligtet til at lade sig sagsøge ved samme domstol som behandler kravet mod SAFEFLOOR ApS.

B2B Sales and delivery terms Safefloor ApS
1. Applicability
1.1. These terms of sale and delivery are applicable to the extent that they are not derogated from by written agreement. The buyer’s terms of purchase will not apply unless they are accepted in writing by SAFEFLOOR ApS.
2. Offer and order confirmation
2.1. No offer made by SAFEFLOOR ApS is binding. An offer will not become binding on SAFEFLOOR ApS until after SAFEFLOOR ApS has forwarded a written order confirmation.
2.2. Unless otherwise stated in the offer, the offer is valid for 3 months from the date of the offer.
3. Price and payment
3.1. All prices are excluding VAT. Deliveries will be made at the prices applicable at the time the order was placed.
3.2. The payment terms are as stated on the invoice. In the event of late payment, interest of 1.5% per month will be charged from the due date until payment is made. In addition, reminder fees will be charged in accordance with applicable legislation.
4. The scope of the delivery
4.1. Delivery comprises only the services described in the order confirmation that has been issued.
4.2. SAFEFLOOR ApS is entitled, without notice, to make alterations and adjustments to products. This will apply regardless of previously shown samples. All technical specifications are provided with reservations for such alterations. No claim may be brought against SAFEFLOOR ApS in connection with any changes that have been made.
5. Delivery and transfer of risk
5.1. All deliveries will be made EXW, unless otherwise agreed in writing. The risk will be transferred when the delivery is collected.
5.2. If delivery has been agreed upon, the risk will be transferred according to the last updated version of the INCOTERMS.
5.3. If delivery to the end user has been agreed upon, the risk will similarly be transferred at the time of delivery, regardless of whether the end user is present at the time and/or place of delivery.
5.4. Storage upon Delivery: Under normal weather conditions, the packaging in which materials such as EPDM, SBR, stone, etc. are delivered can withstand being stored outdoors for up to 7 days from the date of delivery. Thereafter, it is the customer’s responsibility to ensure that the materials are properly covered or moved indoors until installation. For outdoor storage exceeding 7 days, we cannot guarantee that the packaging will remain waterproof or keep out precipitation. We accept no liability for materials that have become damp or wet due to weather conditions if they have been stored outdoors for more than 7 days after delivery.
6. Delay
6.1. Stated delivery times are determined by estimation.
6.2. SAFEFLOOR ApS does not assume liability for compensation if delivery is delayed.
6.3. Force Majeure: strikes, lockouts, operational interruptions and delayed delivery from subcontractors or the like will always delay the delivery time correspondingly.
6.4. If, due to war, riots, bans on import or export, or similar situations, it is impossible or associated with extraordinary difficulty to obtain materials or carry out the order, the seller is entitled to cancel the offer and the order.
7. Defects
7.1. The buyer must check and examine the delivery immediately and within 48 hours after receiving it.
7.2. Any complaints about products delivered must be made immediately in writing, and with pictures documenting the defects.
7.3. If the packaging of materials (stone, SBR, and EPDM) has been broken during transport, the materials must be inspected upon delivery. If the materials are still dry, they must be covered immediately. If they have become wet during transport, the goods must be discarded or returned to us – please contact us in this case.
7.4. SAFEFLOOR ApS will send replacements for any defective items as soon as possible.
7.5. SAFEFLOOR ApS assumes no responsibility for indirect losses resulting from errors such as operational errors, loss of time, loss of profits and the like.
8. Limitation of liability
8.1. SAFEFLOOR ApS is only liable for personal injury or damage to property if it can be proved that the injury or damage was caused by error or neglect on the part of SAFEFLOOR ApS or others for whom SAFEFLOOR ApS is responsible.
8.2. SAFEFLOOR ApS is not liable for damage to real property or chattels which may occur while the goods are in the buyer’s possession.
8.3. Nor is SAFEFLOOR ApS liable for damage to products manufactured by the buyer, or for products in which these are included.
8.4. SAFEFLOOR ApS cannot be held liable for the function of safety surfaces, unless all materials/components have been purchased from SAFEFLOOR ApS.
8.5. If any third party should bring a claim against SAFEFLOOR ApS arising from an action by the buyer that incurs liability, the buyer is altogether responsible for indemnifying SAFEFLOOR ApS for all costs in this connection.
8.6. SAFEFLOOR ApS will never accept liability for operational losses, loss of profits and/or other indirect losses.
8.7. SAFEFLOOR ApS cannot be held liable for the installation of materials that have been wet or damp prior to mixing with adhesive. Wet materials (including stone, SBR, and EPDM) must not be used for installation, as this may affect bonding, adhesion, or cause permanent damage to the surface.
8.8. Minor colour variations may occur in products that contain recycled materials.
9. Disputes and governing law
9.1. If any disputes between the buyer and SAFEFLOOR ApS cannot be settled through negotiation, they shall be settled according to Danish law at the district court in Aarhus. 9.2 To the extent that SAFEFLOOR ApS is held liable to third parties arising from the buyer’s affairs, the buyer is obligated to submit to a case brought against it at the same court that deals with the claim against SAFEFLOOR ApS.
10. Project and Installation Terms
We would like to highlight that our Project and Installation Terms as well as the Guidelines for Base Construction form part of our overall delivery terms. These documents can be requested separately by contacting us and should be reviewed carefully, as they contain essential information and requirements related to planning, installation, and base construction.
